These Terms of Use ("Terms") govern your access to and use of the Nawfe platform, websites, workflow tools, templates, integrations, APIs, support, and related services (collectively, the "Services") provided by [Nawfe legal entity name] ("Nawfe," "we," "us," or "our").

By creating an account, clicking to accept these Terms, signing an order form that references these Terms, or using the Services, you agree to these Terms. If you use the Services on behalf of a company or organization, you represent that you have authority to bind that organization, and "you" or "Customer" means that organization.

If you do not agree to these Terms, do not use the Services.

  1. The Nawfe Services

Nawfe is a workflow execution platform for repeatable business processes. The Services help Customers design, launch, coordinate, track, and improve workflows using forms, tasks, branches, approvals, variables, records, notifications, integrations, external steps, and related workflow components.

Subject to these Terms and payment of applicable fees, Nawfe grants Customer a limited, non-exclusive, non-transferable right to access and use the Services for Customer's internal business purposes.

Customer is responsible for reviewing, testing, approving, and maintaining any workflow before using it in live business operations.

  1. Accounts and Users

Customer may authorize employees, contractors, clients, vendors, partners, or other individuals to use the Services as permitted by Customer's plan or order form ("Authorized Users").

Customer is responsible for all activity under its account, including activity by Authorized Users, administrators, and invited external participants. Customer must protect account credentials and promptly notify Nawfe of any unauthorized access or suspected account compromise.

Each user must use the Services only as permitted by these Terms, applicable documentation, and Customer's subscription plan.

  1. External Participants

Certain workflows may allow people outside Customer's organization to submit forms, provide documents, approve items, complete tasks, or otherwise participate in a workflow.

Customer is responsible for deciding who may access each workflow, task, form, document, notification, or record. Customer must obtain all required rights, notices, and consents before inviting external participants or sending information through the Services.

  1. Customer Data

"Customer Data" means content, files, records, forms, workflow configurations, messages, approval decisions, comments, attachments, variables, logs, and other materials submitted to or generated through Customer's use of the Services.

Customer owns Customer Data. Customer grants Nawfe a limited license to host, store, process, transmit, display, reproduce, and use Customer Data as necessary to provide, secure, support, maintain, improve, and operate the Services, comply with law, prevent abuse, and fulfill Nawfe's obligations.

Customer is responsible for the accuracy, quality, legality, reliability, and appropriateness of Customer Data and for decisions, approvals, actions, omissions, and outputs resulting from workflows configured by Customer or its users.

  1. Nawfe Technology

Nawfe owns the Services, software, workflow engine, interfaces, designs, documentation, templates, sample content, APIs, systems, models, algorithms, know-how, analytics, improvements, and related technology, excluding Customer Data.

Customer may not copy, modify, reverse engineer, resell, sublicense, exploit, or use the Services to build a competing product or service.

  1. Feedback

If Customer or any user provides ideas, suggestions, requests, or feedback about the Services, Nawfe may use that feedback without restriction or compensation.

  1. Acceptable Use

Customer may not use the Services to:

  • violate any law, regulation, contract, or third-party right;

  • upload malware or harmful code;

  • gain unauthorized access to systems, accounts, data, or networks;

  • disrupt, degrade, overload, or interfere with the Services;

  • send spam or unlawful communications;

  • infringe intellectual property, privacy, publicity, or other rights;

  • process unlawful, abusive, discriminatory, deceptive, or harmful content;

  • use the Services for high-risk activities where failure could lead to death, personal injury, environmental damage, or catastrophic loss;

  • use the Services for regulated legal, medical, financial, employment, lending, insurance, or safety decisions without appropriate human review and separate written authorization; or

  • attempt to do any of the above.

Nawfe may suspend or restrict access if it reasonably believes Customer has violated these Terms or if suspension is necessary to protect the Services, users, third parties, or Nawfe.

  1. Sensitive and Regulated Data

Unless expressly permitted in a separate written agreement, Customer must not submit protected health information, payment card data, full government identifiers, biometric data, children's personal information, or other highly sensitive regulated data to the Services.

If Customer needs to process regulated data, Customer must contact Nawfe before doing so and must execute any required data processing, security, or compliance addendum.

  1. Privacy and Data Protection

Nawfe's collection and use of personal information is described in the Nawfe Privacy Policy.

Customer is responsible for determining whether the Services are appropriate for Customer's intended use, including applicable privacy, employment, consumer protection, data localization, record retention, and industry-specific requirements.

  1. Integrations and Third-Party Services

The Services may connect with third-party products, systems, APIs, databases, identity providers, email systems, storage tools, productivity apps, or other services.

Customer's use of third-party services is governed by the terms and policies of those third parties. Nawfe does not control and is not responsible for third-party services, including their availability, security, functionality, data handling, or changes.

Customer authorizes Nawfe to exchange data with third-party services as configured or authorized by Customer or its users.

  1. Workflow Results and Human Review

Nawfe helps Customer coordinate work, route decisions, automate steps, and preserve process records. The Services do not replace Customer's professional judgment, supervision, approval obligations, or compliance responsibilities.

Customer is responsible for validating workflow logic, branches, assignments, due dates, approvals, calculations, notifications, and records before relying on them.

  1. Fees and Payment

Customer must pay all fees described in the applicable order form, checkout flow, pricing page, or subscription plan.

Unless otherwise stated, fees are due in advance, non-cancelable, and non-refundable. Customer is responsible for applicable taxes. Late payments may result in suspension or termination of access.

Usage beyond plan limits may require additional fees, reduced usage, or migration to another plan.

  1. Trials and Beta Services

Nawfe may offer free, trial, preview, beta, pilot, or evaluation access. These offerings may be changed, limited, or discontinued at any time and are provided "as is" without warranties, support commitments, or service-level commitments.

  1. Professional Services

Nawfe may provide implementation, configuration, workflow mapping, training, advisory, migration, or other professional services under a separate order form or statement of work.

Customer remains responsible for approving the design and operation of all workflows.

  1. Support and Availability

Nawfe will use commercially reasonable efforts to provide the Services in accordance with the applicable plan, documentation, support policy, order form, and any service-level agreement expressly agreed to in writing.

Nawfe may modify, update, suspend, discontinue, or replace features from time to time.

  1. Confidentiality

Each party may receive non-public information from the other party that is marked confidential or reasonably should be understood to be confidential.

The receiving party will use confidential information only to perform or receive the Services, protect it using reasonable care, and disclose it only to people or service providers who need to know it and are bound by confidentiality obligations.

  1. Security

Nawfe will maintain reasonable administrative, technical, and organizational safeguards designed to protect Customer Data. Customer acknowledges that no online service is completely secure.

Customer is responsible for its own security controls, including user permissions, device security, integration settings, workflow access rules, and internal policies.

  1. Suspension and Termination

Nawfe may suspend access if Customer violates these Terms, fails to pay fees, creates a security risk, exceeds usage limits, or uses the Services in a way that may harm Nawfe, users, third parties, or the Services.

Either party may terminate these Terms or an applicable order form if the other party materially breaches and fails to cure within 30 days after written notice.

Upon termination, Customer's right to access and use the Services ends, and Customer must pay all amounts due.

  1. Data Export and Deletion

During the subscription term, Customer may export Customer Data using available product functionality. After termination or expiration, Nawfe may make Customer Data available for export for [30] days unless otherwise stated in an order form or required by law.

After the export period, Nawfe may delete Customer Data in accordance with its retention practices, backup schedules, legal obligations, and applicable agreements.

  1. Disclaimers

Except as expressly stated in these Terms, the Services are provided "as is" and "as available."

To the fullest extent permitted by law, Nawfe disclaims all warranties, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, and error-free operation.

Nawfe does not warrant that the Services will be uninterrupted, secure, timely, accurate, complete, or free from errors.

  1. Limitation of Liability

To the fullest extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, exemplary, punitive, or enhanced damages, or for lost profits, lost revenue, lost goodwill, lost business opportunities, loss of data, or business interruption.

To the fullest extent permitted by law, each party's total aggregate liability arising out of or relating to these Terms or the Services will not exceed the amounts paid or payable by Customer to Nawfe for the Services giving rise to the claim during the 12 months before the event giving rise to liability.

  1. Indemnification

Customer will defend, indemnify, and hold harmless Nawfe from claims, damages, losses, liabilities, costs, and expenses arising out of or relating to Customer Data, Customer's workflows, Customer's use of the Services, Customer's violation of these Terms, or Customer's violation of law or third-party rights.

  1. Changes to These Terms

Nawfe may update these Terms from time to time. If Nawfe makes material changes, Nawfe will provide notice through the Services, by email, or by other reasonable means.

Continued use of the Services after updated Terms become effective means Customer accepts the updated Terms.

  1. Publicity

Unless Customer opts out by written notice to [legal@nawfe.com], Nawfe may use Customer's name and logo to identify Customer as a Nawfe customer in customer lists, websites, sales materials, and investor materials.

  1. Export Controls

Customer may not use, export, re-export, import, sell, release, or transfer the Services except as authorized by applicable law. Customer represents that it and its users are not subject to sanctions or restricted-party lists.

  1. Governing Law and Disputes

These Terms are governed by the laws of the State of [State], without regard to conflict-of-law principles.

The parties consent to exclusive jurisdiction and venue in the state and federal courts located in [County, State] for any dispute arising out of or relating to these Terms or the Services.

  1. General Terms

Neither party is liable for delay or failure to perform due to events beyond its reasonable control, except for payment obligations.

Customer may not assign these Terms without Nawfe's prior written consent, except to an affiliate or successor in connection with a merger, acquisition, corporate reorganization, or sale of substantially all assets.

These Terms, together with any applicable order form, privacy policy, data processing addendum, support policy, and other incorporated terms, are the entire agreement between the parties regarding the Services.

If any provision is unenforceable, the remaining provisions remain in effect. Failure to enforce a provision is not a waiver.
